| Purpose: |
To
recommend qualified candidates for the offices of
director and officers as provided in the bylaws. |
| Committee
Chair: |
The
Chair shall be appointed by a resolution of the
Board of Directors from among the members of the
Board for a term of 1 year. |
| Membership: |
An
additional four (4) members, selected by the committee
chair and the President, shall serve on the committee
for a term of 2 years(s). |
| Meetings: |
The
committee shall convene as often as needed (in person
and/or via conference call) to present an appropriate
slate of candidates to the Board each year. |
| Functions |
Authority |
| 1.
Identify gaps (in geographic, gender, ethnic, or
career areas) in Trustee representation and make
recommendations to fill those gaps with diverse
representatives. |

| 2.
Confer with Board and certification committee to
identify and recruit an appropriate slate of qualified
candidates for vacant director and officer positions. |

| 3.
Identify and recruit a qualified candidate for president-elect
every other year. |

Submit qualified candidates to the Board for approval
annually. |

Establish annually the agendas and dates for scheduled
